By purchasing or using AlgoDeploy ("the Software"), you agree to these Terms of Service. If you do not agree, do not purchase or use the Software. The Software is provided by AlgoDeploy LLC, a Wisconsin limited liability company.
Upon purchase, you receive a non-exclusive, non-transferable, perpetual license to use AlgoDeploy for personal or internal business purposes on your own accounts. You may install the Software on up to three (3) machines you personally control.
You may NOT:
AlgoDeploy is software middleware and development infrastructure. It is NOT a trading platform, trading system, financial advisor, or investment advisory service.
The Software provides tools for you to build, backtest, and execute your own self-directed trading strategies. AlgoDeploy does not make trading decisions, generate trading signals, recommend strategies, manage portfolios, or provide any form of financial advisory service. You bring your own strategies, logic, and judgment — AlgoDeploy provides the infrastructure to run them.
Any strategy templates, presets, or examples included in the Software are provided solely to demonstrate software functionality and are NOT trading recommendations. They use deliberately simplified parameters and should NOT be used as-is for live trading.
AlgoDeploy is not registered as an investment adviser, broker-dealer, or in any other capacity with the SEC, FINRA, or any state securities regulatory authority, and is not required to be so registered because it does not provide investment advice or recommendations.
Nothing in the Software, documentation, marketing materials, or communications from AlgoDeploy constitutes investment advice, a trading recommendation, or a solicitation to buy or sell any security.
Trading securities involves substantial risk of loss. By using AlgoDeploy you acknowledge that:
Optional subscription services are billed monthly ($10/mo) or annually ($100/yr). You may cancel at any time. Cancellation takes effect at the end of the current billing period. The core Software license is permanent and unaffected by subscription status.
We offer a 30-day money-back guarantee on the initial Software purchase. To request a refund, email support@algo-deploy.com within 30 days of purchase. Subscription fees are non-refundable for the current billing period.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY BACKTESTED PERFORMANCE METRICS, MARKET DATA, OR INDICATOR CALCULATIONS.
IN NO EVENT SHALL ALGODEPLOY LLC, ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOST PROFITS, OR DATA LOSS, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.
AlgoDeploy integrates with third-party brokers (e.g., Alpaca Markets) and data providers. We are not responsible for the availability, accuracy, or actions of third-party services. Your use of those services is governed by their respective terms.
We may update these Terms at any time. Material changes will be communicated via email or the website. Continued use after changes constitutes acceptance.
Governing Law. These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.
Mandatory Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Software, or any trading activity conducted using the Software shall be resolved exclusively through final and binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator in Wisconsin or remotely via videoconference. The arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER. YOU AND ALGODEPLOY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
JURY TRIAL WAIVER. TO THE EXTENT ANY DISPUTE IS NOT SUBJECT TO ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
